  • Prices are subject to change without prior notice after quotation expiry.
  • Availability of products is subject to stock availability and supplier confirmation.
  • Items not expressly stated in the quotation are excluded.
  • On-site inspection, installation, removal, testing, commissioning, and related attendance are excluded unless expressly included in the quotation. Where requested, such work shall be separately chargeable.

2. Product Identification and Suitability

  • The Customer shall verify that all quoted parts, products, equipment, and technical specifications are suitable for the intended application before placing an order.
  • Part numbers are the primary reference for identification and supply. Descriptions are secondary and shall not be used as the sole basis for verification.
  • Where there is a discrepancy between a part number and a description, the part number shall prevail.
  • Pamarine shall not be liable for an incorrect supply resulting from inaccurate, incomplete, or incorrect part numbers, equipment information, model details, serial numbers, drawings, specifications, or other information provided by the Customer.

3. Orders and Acceptance

  • Orders are confirmed upon Pamarine's receipt and acceptance of a Purchase Order, written acceptance, order confirmation, email instruction to proceed, payment, or other written instruction.
  • Confirmed orders cannot be cancelled without Pamarine's written approval.
  • If cancellation is approved, the Customer shall be responsible for work performed, commitments made, goods ordered, and reasonable cancellation costs.
  • By placing an order, issuing a Purchase Order, accepting or acknowledging a quotation, making payment, or instructing Pamarine to proceed, the Customer acknowledges that it has read, understood, and agrees to be bound by these Terms and Conditions.

4. Non-Returnable and Non-Exchangeable Goods

  • All goods supplied by Pamarine are non-returnable and non-exchangeable once delivered, unless otherwise expressly agreed by Pamarine in writing.
  • Goods supplied according to the Customer's specified part number, drawing, model, serial number, equipment information, or technical specification are non-returnable and non-exchangeable.

5. Pricing, GST, Taxes and Charges

  • All prices are subject to prevailing GST and are exclusive of VAT, duties, levies, fees, and other applicable taxes or government charges unless otherwise stated.
  • For zero-rated GST treatment, the Customer shall provide the required supporting documents, including the vessel stamp or sub-certificate and, where applicable, an export permit showing Pamarine as the shipper.
  • GST exemption is not applicable to Singapore-registered vessels bearing SP, SZ, or SZH registration. Pamarine may request the vessel registry certificate or other supporting documents.
  • Orders valued below SGD 200 before GST may be subject to a handling fee of SGD 30, or the equivalent amount where applicable.
  • The Customer shall be responsible for all taxes, duties, fees, and charges relating to the order.
  • If the Customer deducts or withholds any taxes, duties, fees, or charges, the Customer shall pay such additional amount as is necessary for Pamarine to receive the full quotation or invoice price without reduction.

6. Payment Terms

  • Payment shall be made in accordance with the payment terms stated in the quotation or invoice.
  • Pamarine reserves the right to suspend deliveries or performance where any payment remains outstanding.
  • Late payments may be subject to interest, administrative charges, and recovery costs as stated in the quotation or invoice.

7. Delivery and Collection

  • Delivery dates are estimates only and are not guaranteed.
  • Pamarine shall not be liable for delays caused by manufacturers, suppliers, freight providers, customs authorities, regulatory requirements, or events beyond its reasonable control.
  • Risk in the goods shall pass to the Customer upon delivery or collection.
  • Free local delivery may be provided for orders above SGD 1,000 before inbound freight and GST. Where the threshold is not met, local delivery may be arranged at SGD 80 per trip, or the equivalent amount where applicable.
  • Pamarine does not provide delivery or direct loading to restricted areas, including bunkering areas, terminals, or ports, unless separately agreed. Additional charges shall apply where such arrangements are required.

  • Overtime charges may apply to deliveries and collections outside normal working hours.

8. Inspection and Acceptance

  • The Customer shall inspect all goods upon receipt.
  • Shortages, transit damage, or discrepancies must be reported to Pamarine in writing within seven (7) days of delivery.
  • Failure to notify Pamarine within this period shall constitute acceptance of the goods.
  • This inspection period does not create any right to return or exchange goods.

9. Storage

  • Unless otherwise stated, storage charges may apply where goods are not delivered or collected within thirty (30) days from the notified ready-to-ship date.
  • Storage charges shall continue until delivery or collection has been completed.

10. Warranty

  • Product warranties are limited to the applicable original manufacturer's warranty terms.
  • Original parts and accessories must be used for warranty eligibility, where applicable.
  • Pamarine does not provide any additional warranty beyond that expressly stated in writing.
  • Warranty claims do not include freight, transportation, travel, attendance, docking, mobilisation, craneage, permits, logistics costs, or consequential expenses unless expressly agreed otherwise in writing.

11. Sanctions and Compliance

  • Pamarine may refuse, suspend, or cancel any quotation, order, shipment, delivery, or transaction if the vessel, Customer, Buyer, consignee, beneficial owner, destination, or transaction is flagged under applicable sanctions, export controls, trade restrictions, or compliance requirements.
  • The Buyer shall complete the required declaration form and provide any additional information or supporting documents requested by Pamarine.
  • The Buyer is responsible for ensuring that all information provided is complete, accurate, and compliant with applicable laws and requirements.
  • Pamarine shall not be liable for delays, suspension, refusal, or cancellation resulting from sanctions screening, export controls, compliance reviews, or regulatory restrictions.

  • To the extent permitted by law, Pamarine's total liability shall not exceed the value of the goods supplied under the relevant order.

Service Terms & Conditions

Terms applicable to all service, inspection, survey, assessment, repair, troubleshooting, maintenance, installation, testing, commissioning, workshop, and site attendance work undertaken by Pamarine Private Limited.

1. Scope of Service

  • Services include only the work expressly described in the quotation, service order, work order, or written work authorisation.
  • Any goods or services not expressly stated are excluded from the agreed scope.
  • On-site attendance, installation, removal, load-out support, testing, commissioning, or other related work is excluded unless expressly stated.
  • Pamarine may advise the Customer of additional faults or work discovered during the service. Additional work shall proceed only upon the Customer's approval.
  • Pamarine may suspend work while awaiting approval, instructions, access, information, parts, or payment.
  • Any preliminary estimate, discussion, correspondence, or in-principle agreement shall not be binding unless formally included in a quotation or other written agreement issued by Pamarine.

2. Customer Responsibilities

  • The Customer shall provide complete and accurate vessel, equipment, machinery, system, operating, fault, and service-history information.
  • The Customer shall verify that quoted or recommended parts and services are suitable for the intended application before confirming the order.
  • The Customer shall ensure that the vessel, equipment, compartments, machinery spaces, and service areas are safely and readily accessible.
  • The Customer shall provide all necessary permits, inductions, approvals, utilities, isolation, lifting arrangements, safety support, and access required for the work, unless otherwise agreed in writing.
  • The Customer shall comply with all applicable vessel, port, shipyard, terminal, site, safety, security, and environmental requirements.
  • The Customer shall report abnormal operation, defects, or failures without undue delay. Delayed reporting may affect warranty eligibility and the ability to determine the cause of failure.
  • Pamarine's customer is the entity issuing the Purchase Order, work order, or written instruction. Unless otherwise agreed, Pamarine is not responsible for obtaining acknowledgement, signature, or a vessel stamp from an end user or another third party.

3. Parts, Repairs and Warranty

  • Parts supplied by Pamarine are covered solely by the applicable manufacturer's warranty, where available.
  • Service workmanship warranty, where applicable, applies only to the specific work performed by Pamarine and does not extend to unrelated systems, components, defects, or failures.
  • The applicable workmanship warranty period, if any, shall be as stated in the quotation, service report, or written warranty terms.
  • Warranty claims do not include transport, travel, accommodation, launch service, mobilisation, freight, docking, craneage, permits, waiting time, or attendance charges unless expressly agreed otherwise in writing.
  • Warranty shall not apply to failures arising from insufficient maintenance, misuse, abnormal or improper operation, normal wear and tear, corrosion, improper storage, environmental conditions, accident, unauthorised modification, third-party intervention, incompatible parts, or operation outside the equipment's intended parameters.
  • All warranty claims are subject to inspection and technical assessment by Pamarine and, where applicable, the manufacturer.
  • Pamarine may assist with the submission of a manufacturer's warranty claim but does not determine or guarantee the manufacturer's approval.
  • Parts supplied for service work are non-returnable and non-exchangeable unless otherwise expressly agreed by Pamarine in writing.

4. Payment, Deposit and Suspension of Work

  • Payment shall be made in accordance with the terms stated in the quotation, invoice, service order, or other written agreement.
  • Pamarine may require a deposit or advance payment before procuring parts, mobilising personnel, reserving workshop capacity, or commencing work.
  • A deposit shall not be used by the Customer as a set-off against any amount due unless Pamarine agrees otherwise in writing.
  • If the Customer cancels or terminates the work after confirmation, Pamarine may charge for work performed, time incurred, goods ordered, commitments made, and reasonable cancellation costs.
  • Pamarine reserves the right to suspend or cease work immediately if any invoice or other payment remains outstanding.
  • Pamarine shall not be responsible for any delay, cost, or loss arising from a suspension due to non-payment or the Customer's failure to meet its obligations.
  • Late-payment interest and administrative or recovery charges may be applied as stated in the quotation or invoice.

5. Service Schedule and Completion Time

  • All attendance dates, durations, completion dates, delivery dates, and repair timelines are estimates only and are not guaranteed.
  • Completion may be affected by parts availability, supplier or manufacturer lead times, workshop loading, vessel or equipment condition, additional faults, access limitations, Customer instructions, approvals, site conditions, weather, transport, or other circumstances beyond Pamarine's reasonable control.
  • Pamarine shall not be liable for delays or resulting costs and losses arising from such circumstances.

6. Additional Charges

  • Travel, transport, accommodation, launch service, freight, docking, craneage, lifting equipment, permits, safety standby personnel, special tools, consumables, disposal, and third-party fees are chargeable unless expressly included in the quotation.
  • Waiting time, standby time, repeated attendance, remobilisation, or additional attendance caused by vessel delays, restricted access, permit issues, operational interruptions, incomplete information, unsafe conditions, or other causes outside Pamarine's control may be charged separately.
  • Overtime, urgent attendance, night work, weekends, and public-holiday services may be charged at the applicable rates.
  • Additional labour, parts, materials, testing, rectification, or work outside the agreed scope shall be charged separately upon approval.

7. Storage and Holding Charges

  • Storage, lay-up, parking, or holding charges may apply to vessels, equipment, components, goods, or materials remaining at Pamarine's premises beyond the agreed collection date or completion of work.
  • Charges shall continue until the item is collected or written disposal or delivery instructions acceptable to Pamarine are provided.
  • Any storage, lay-up, berthing, parking, handling, or other charges incurred away from Pamarine's premises shall be borne by the Customer.

8. Risk and Customer Property

  • All vessels, equipment, machinery, parts, accessories, contents, and other Customer property remain at the Customer's risk while at Pamarine's premises or under Pamarine's control.
  • While reasonable care shall be exercised, Pamarine shall not be liable for loss, theft, deterioration, corrosion, hidden or pre-existing defects, or damage except to the extent directly caused by Pamarine's proven negligence.
  • Pamarine shall not be responsible for failures or damage arising from the condition of equipment, undisclosed defects, incorrect information, third-party work, or causes unrelated to the work performed by Pamarine.

9. Job Completion and Service Reports

  • The Customer shall review service reports, findings, recommendations, and records issued by Pamarine.
  • Service reports and completed work shall be deemed accepted unless the Customer raises a written objection, with supporting details, within seven (7) days of issue.
  • The absence of an end user's signature, acknowledgement, or vessel stamp shall not by itself invalidate Pamarine's service report or evidence that the attendance or work was performed.
  • Recommendations for further work, monitoring, replacement, overhaul, testing, or maintenance are not included in the completed scope unless separately approved in writing.

10. Inspection, Survey and Assessment

  • Inspections, surveys, assessments, audits, evaluations, troubleshooting activities, condition assessments, and technical reviews are based solely on conditions observable and accessible at the time of attendance.
  • Pamarine shall not be responsible for hidden, inaccessible, concealed, intermittent, developing, latent, or subsequently occurring defects that were not reasonably identifiable during the inspection.
  • Inspection findings, observations, recommendations, reports, certificates, photographs, and comments represent the condition observed at the time of inspection only. They do not constitute a guarantee of future performance, condition, reliability, safety, service life, or continued compliance.
  • Unless expressly included in the quotation, an inspection does not include dismantling, destructive testing, pressure testing, load testing, internal examination, laboratory analysis, specialist testing, class attendance, statutory attendance, or manufacturer engineering review.
  • Recommendations made by Pamarine do not relieve the Customer, owner, operator, manager, or end user of responsibility for determining the suitability, operation, maintenance, compliance, and continued use of the equipment or system.
  • An inspection or report does not constitute certification of seaworthiness, class compliance, statutory compliance, regulatory compliance, or fitness for a particular purpose unless expressly stated in writing.

11. Inspections and Attendance on Behalf of Manufacturers or Principals

  • Where Pamarine performs an inspection, survey, assessment, test, commissioning activity, certification support, maintenance, warranty attendance, or technical service as an authorised representative, service provider, distributor, dealer, or agent of a manufacturer, principal, or equipment supplier, the attendance is limited to the authority and scope granted by that party.
  • Pamarine does not independently warrant, certify, guarantee, or assume responsibility for product design, manufacturing defects, engineering calculations, type approval, class approval, statutory approval, or decisions reserved to the manufacturer, principal, classification society, flag administration, or regulatory authority.
  • Any warranty determination, replacement approval, technical concession, repair approval, claim acceptance, certification decision, or similar determination remains subject to the applicable manufacturer's or principal's review, requirements, and final approval.
  • The Customer shall provide all information, records, photographs, operating data, access, declarations, and supporting documents required for the inspection or submission to the manufacturer or principal.
  • Pamarine shall not be liable for a decision, delay, rejection, limitation, request for further information, or restriction imposed by the manufacturer, principal, classification society, flag administration, or regulatory authority.

12. Installation, Testing and Commissioning

  • Installation, testing, calibration, adjustment, configuration, commissioning, acceptance testing, and demonstrations are limited to the equipment, systems, operating conditions, utilities, interfaces, and scope stated in the quotation or service documentation.
  • Successful testing or commissioning confirms satisfactory operation only under the conditions existing and observed at the time the work is performed.
  • Testing or commissioning does not constitute a guarantee of future performance, durability, reliability, continued operation, overall system condition, or regulatory compliance after handover.
  • Pamarine shall not be responsible for changes in equipment condition, vessel or site conditions, utility supply, operating environment, loading, third-party systems, software, settings, modifications, maintenance practices, consumables, or operator actions occurring after testing or commissioning.
  • Unless expressly included, commissioning does not include operator training, class attendance, flag-state approval, statutory approval, performance-guarantee testing, endurance testing, sea trials, load testing, integration testing, or long-term operational monitoring.
  • Delays, repeated attendance, additional testing, and rectification arising from incomplete installation, unavailable utilities, unsuitable site conditions, third-party equipment, incomplete documentation, restricted access, or matters outside Pamarine's scope may be charged separately.

13. Force Majeure

  • Pamarine shall not be liable for any delay, failure, loss, or damage caused by circumstances beyond its reasonable control, including equipment breakdown, utility interruption, fire, flood, severe weather, natural disaster, accident, war, civil disturbance, industrial dispute, labour or material shortage, communicable disease, government action, port or border restriction, traffic disruption, transport interruption, supplier delay, or other force majeure event.

14. Limitation of Liability

  • Pamarine shall not be liable for indirect, incidental, special, punitive, or consequential loss, including loss of profit, revenue, charter hire, use, production, opportunity, contract, or business; vessel or equipment downtime; business interruption; towing; environmental claims; or third-party claims.
  • Pamarine shall not be liable for equipment or system failures caused by insufficient maintenance, misuse, abnormal operation, environmental conditions, pre-existing defects, incompatible components, third-party work, or repairs performed without required authorisation.
  • Pamarine shall not be liable for downtime of equipment or associated machinery where additional investigation, parts, repairs, approvals, or attendance are required.
  • To the extent permitted by law, Pamarine's total aggregate liability arising from or relating to a service engagement shall not exceed ten per cent (10%) of the total value of the relevant quotation or SGD 50,000, whichever is lower.
